Evernorth XRP Treasury Clears Vote: ~$300M Deal Eyes Oct. 7 Close, Oct. 8 Nasdaq Debut

Armada Acquisition Corp. II shareholders approved the Evernorth merger on Sept. 30; a conditional Oct. 7 close and Oct. 8 Nasdaq debut as XRPN follow.

Evernorth XRP Treasury Clears Vote: ~$300M Deal Eyes Oct. 7 Close, Oct. 8 Nasdaq Debut

Evernorth’s planned public XRP treasury has passed its shareholder vote, with roughly $300 million in gross proceeds attached to the deal and an October closing date set. Two independent outlets, Cryptonews and U.Today, both report the approval. The figures and dates around it come from one outlet or the other, not both.

Source basis: Shareholder approval is confirmed by two independent reports. The ~$300 million gross proceeds figure and the October 7 conditional closing come from Cryptonews only. The Nasdaq ticker XRPN, the October 8 trading date, the September 30 vote date, the SPAC’s name and the CEO confirmation come from U.Today only.

What Two Independent Sources Agree On

The core event is not in dispute. Shareholders have signed off on the business combination that turns Evernorth into a listed company holding XRP. Both outlets place the next step in early October.

That is the extent of the overlap. Everything else in this story rests on a single report, and we label it that way below.

The Numbers and Dates, Outlet by Outlet

Cryptonews reported that the transaction carries about $300 million in gross proceeds. It also reported that closing is targeted for October 7 and is still conditional. Gross proceeds are measured before fees, expenses and any shareholder redemptions, so the capital that actually reaches the treasury could come in lower.

U.Today supplied the corporate mechanics. By its account, shareholders of the special purpose acquisition company Armada Acquisition Corp. II approved the combination on September 30, 2026. The outlet said Evernorth chief executive Ashish Birla, a former Ripple executive, confirmed the result the following day.

U.Today also reported that the combined company will begin trading on Nasdaq on Thursday, October 8, under the ticker XRPN. It described the vehicle as the first actively managed, Ripple-backed XRP treasury and said it will be the largest XRP treasury on the public market. Neither claim appears in the Cryptonews report.

The two timelines fit together. A deal that closes on October 7 would logically list on October 8. Still, consistency between two outlets is not the same as each date being independently confirmed.

What the Structure Offers XRP Holders

A listed treasury company gives investors exposure to XRP through ordinary equity. It does not require holding the token directly. For brokerage-account investors who cannot or will not use a crypto exchange, that is the main appeal.

The trade-off is real. A treasury stock’s price can drift above or below the value of the tokens it holds, and an actively managed mandate adds a layer of management decisions on top of the XRP price itself. Neither outlet published per-share holdings or a premium-to-holdings figure, so those numbers are not yet available to assess.

Neither report included an XRP price move tied to the vote. We are not attaching one.

Still Open Before the Bell

The word “conditional” in the Cryptonews report is the key qualifier. The approval removes one hurdle. It does not complete the transaction. Neither outlet detailed which conditions remain outstanding.

Redemption levels, final net proceeds and the size of the XRP position at listing have not been reported by either source. The first verifiable data point should come with the stated closing on October 7, followed by the first XRPN trade on Nasdaq on October 8.
